Welcome to Initvent (“Initvent”, “Company”, “we”, “our”, or “us”).
These Terms and Conditions (“Terms”) govern your access to and use of our website https://initvent.com, including all SaaS products, IT services, AI-based solutions, consulting services, digital platforms, and marketplace features (collectively, the “Services”).
By accessing or using Initvent, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use our Services.
1. Scope of Services
Initvent provides, but is not limited to:
- Software-as-a-Service (SaaS) platforms
- AI-powered tools, automation, and digital solutions
- IT development, maintenance, and support services
- Business, technology, and AI consulting services
- Digital marketplace features connecting service providers and clients
Services may be updated, modified, expanded, or discontinued at any time at our sole discretion.
2. Eligibility & Account Responsibility
To use our Services, you must:
- Be at least 18 years old, or
- Have legal capacity under applicable laws
You are responsible for:
- Maintaining confidentiality of your account credentials
- All activities conducted through your account
- Ensuring information you provide is accurate and up to date
Initvent is not responsible for unauthorized access caused by user negligence.
3. Acceptable Use Policy
You agree not to:
- Use the Services for illegal, fraudulent, or abusive purposes
- Upload malicious code, malware, or harmful AI prompts
- Reverse-engineer, copy, or exploit our software or AI models
- Use AI outputs for unlawful, deceptive, or harmful activities
- Interfere with system security or performance
Violation may result in immediate suspension or termination.
4. AI Services Disclaimer
Initvent may provide AI-generated outputs, recommendations, or automations.
You acknowledge that:
- AI outputs may not always be accurate or complete
- AI results should not be treated as legal, medical, or financial advice
- Final decisions and use of AI outputs are your sole responsibility
Initvent is not liable for decisions made based on AI-generated results.
5. Marketplace & Third-Party Services
If Initvent operates a marketplace:
- Initvent acts as a technology platform only
- We are not a party to agreements between buyers and sellers
- We do not guarantee performance, delivery, or outcomes of third-party services
Each party is responsible for compliance with applicable laws and contracts.
6. Fees, Payments & Billing
- Pricing is displayed before purchase or engagement
- Fees may be subscription-based, project-based, or usage-based
- All payments are non-refundable unless stated otherwise in writing
- Failure to pay may result in service suspension
Initvent reserves the right to revise pricing at any time.
7. Intellectual Property Rights
All software, AI models, source code, designs, content, trademarks, and documentation remain the exclusive intellectual property of Initvent.
You are granted a limited, non-exclusive, non-transferable license to use the Services solely for internal business or personal use.
You may not:
- Resell or sublicense our Services
- Copy or modify platform components
- Use Initvent branding without permission
8. User Data & Privacy
Your use of the Services is subject to our Privacy Policy.
You retain ownership of your data, while granting Initvent permission to process data solely to provide and improve Services.
Initvent applies reasonable technical and organizational safeguards but does not guarantee absolute security.
9. Confidentiality
Both parties agree to maintain confidentiality of non-public, proprietary, or business-sensitive information shared during service engagement.
This obligation survives termination of Services.
10. Service Availability & Support
While we strive for high availability:
- Services may experience downtime due to maintenance or external factors
- Initvent does not guarantee uninterrupted or error-free operation
Support levels may vary depending on service plans.
11. Limitation of Liability
To the maximum extent permitted by law:
Initvent shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, business, or reputation
- AI output misuse or incorrect interpretation
- Third-party service failures
Total liability shall not exceed the amount paid by you in the last 3 months of service.
12. Indemnification
You agree to indemnify and hold Initvent harmless from claims arising from:
- Your misuse of Services
- Violation of laws or third-party rights
- Use of AI outputs or marketplace interactions
13. Termination
Initvent may suspend or terminate your access:
- For breach of these Terms
- For non-payment
- For legal or security reasons
Upon termination, your license to use Services ends immediately.
14. Governing Law & Jurisdiction
This Agreement shall be governed by and interpreted under:
- Primary Jurisdiction: Laws of Bangladesh
- Secondary Jurisdiction (if applicable): Laws of the United Arab Emirates (UAE)
- International Users: Applicable international commercial laws and conflict-of-law principles
Courts of Bangladesh or UAE shall have jurisdiction, unless otherwise agreed in writing.
15. Force Majeure
Initvent shall not be liable for failure or delay due to events beyond reasonable control, including:
- Natural disasters
- Government actions
- Internet or infrastructure failures
- Cyber incidents
16. Amendments
Initvent reserves the right to update these Terms at any time.
Continued use of Services after updates constitutes acceptance.
